What are Settlement Agreements?

A Settlement Agreement is a legally binding contract made between an employee and employee. It is usually entered into at the termination of employment and sets out the full terms between the parties.

Settlement agreements can also be used to resolve an ongoing workplace dispute, for example, a dispute over holiday pay. These agreements can be proposed by either an employer or an employee, although it will normally be the employer.

Once a valid settlement agreement has been signed, the employee will be unable to make an employment tribunal claim about any type of claim which is listed on the agreement.

Where the employer and employee are unable to reach an agreement, the settlement discussions cannot usually be referred to as evidence in any subsequent unfair dismissal claim. Where the settlement discussions are held to resolve an existing dispute between the parties they cannot be used as evidence in any type of claim.

Settlement agreement templates are essential for managing a low-risk, compliant Settlement agreement process.

What Are the Key Stages of a Settlement Agreement?

A settlement agreement process provides a structured way for an employer and employee to negotiate an agreed end to employment or resolution of a dispute. It will typically follow these key stages:

1
Proposal The possibility of a settlement is raised and the broad terms are discussed.
2
Negotiation The parties discuss the proposed terms and any amendments.
3
Advice The employee obtains appropriate independent advice on the agreement.
4
Agreement The final terms are documented and agreed by the parties.
5
Exit The agreed payments, termination date and other arrangements are completed.

Settlement agreements are voluntary. The employee must have the opportunity to obtain appropriate independent advice before signing.

Compliance

UK employment law and best practice

This toolkit is designed to support Settlement agreement, but its resources should be used alongside the relevant HR policies and procedures and applied to the circumstances of each individual case. Always consider the specific facts, your organisation's processes and the applicable employment law before taking action.

Settlement agreements can be used to resolve actual or potential employment disputes and usually involve an agreed termination of employment. They are legally significant documents and should be used alongside appropriate independent legal advice.

Independent legal advice

For a settlement agreement to be legally binding in relation to statutory employment claims, the employee must receive advice from an appropriately qualified independent adviser and the statutory conditions must be satisfied. https://www.acas.org.uk/settlement-agreements

Voluntary agreement

A settlement agreement should be entered into voluntarily. Employers should avoid applying inappropriate pressure or presenting the employee with unreasonable deadlines for obtaining advice.

Terms and waivers

The agreement should clearly identify the claims being settled, the payments or other benefits being provided and any continuing obligations. Employers should obtain specialist advice where the circumstances are complex.
