View full libraryThese Terms and Conditions ("Terms") govern your use of hrdocbox.co.uk, including the website, your account, the purchase and use of electronic document templates ("Templates"), subscriptions and any other services made available through the website.
By creating an account, placing an order, purchasing a Template, subscribing to a service or otherwise using the website, you agree to these Terms. Please read them carefully before using hrdocbox.co.uk.
These Terms apply to both consumers and business customers. Where different legal rights apply depending on whether you are purchasing as a consumer or for business purposes, the relevant provisions of these Terms will apply. Nothing in these Terms affects any statutory rights that cannot legally be excluded or restricted.
1.1. hrdocbox.co.uk operates hrdocbox.co.uk and provides electronic HR document Templates, HR resources, toolkits and related services.
1.2. References in these Terms to "hrdocbox.co.uk", "we", "us" or "our" mean the business operating hrdocbox.co.uk.
1.3. References to "you" or "your" mean the person or organisation purchasing, accessing or using the website, Templates or services.
1.4. Before purchasing from hrdocbox.co.uk, you should ensure that the information displayed on the website, including the description of a Template, price and any subscription terms, meets your requirements.
2.1. "Account" means the account created by you to access Templates, purchases, subscriptions and other features of the website.
2.2. "Template" means any electronic document, policy, form, letter, guide, toolkit, checklist, spreadsheet, resource or other digital content made available by hrdocbox.co.uk.
2.3. "Subscription" means a paid subscription providing access to Templates or other resources for the subscription period and on the terms displayed at the time of purchase.
2.4. "Website" means hrdocbox.co.uk and any associated pages, systems or services operated by hrdocbox.co.uk.
3.1. You must use the website lawfully and must not knowingly use it in a way that could damage, disable, overburden or impair the website or interfere with another person's use of it.
3.2. You must not attempt to obtain unauthorised access to the website, another customer's account, our systems or any data or information that you are not authorised to access.
3.3. You must not use automated systems, scraping tools or other methods to systematically copy, reproduce or extract the Template library or substantial portions of the website without our prior written permission.
3.4. You must not use the Templates or website content to create, populate or support a competing template library, document marketplace or substantially similar commercial service.
4.1. Certain features of the website require you to create an Account.
4.2. You are responsible for providing accurate and current information when creating your Account and for keeping your login credentials secure.
4.3. You must not share your Account login details with individuals or organisations that are not entitled to use the Account.
4.4. Where a purchase or Subscription is made on behalf of a business or organisation, the Account and associated licence may only be used by that business or organisation in accordance with the applicable licence terms.
4.5. You must notify us promptly if you become aware of unauthorised access to your Account or believe that your login details have been compromised.
4.6. We may suspend access to an Account where we reasonably believe that it has been compromised, misused or used in breach of these Terms.
5.1. Information displayed on the website about Templates and prices is an invitation to purchase and does not constitute a binding offer by us.
5.2. When you place an order, you are making an offer to purchase the relevant Template or service.
5.3. Your order will be accepted when we confirm the order or provide access to the purchased Template or Subscription, whichever occurs first.
5.4. We reserve the right to decline or cancel an order where there is a genuine error in the price or description, a payment cannot be authorised, there is evidence of fraudulent activity or misuse, or we are otherwise unable to fulfil the order.
5.5. If we cancel an order after payment has been taken, we will refund the amount paid for the cancelled order unless a different remedy is required by law.
6.1. Templates are supplied as digital content and are intended to provide practical HR documentation and resources that customers can adapt for their own circumstances.
6.2. Unless expressly stated otherwise, Templates are supplied in electronic format and may be accessed through your Account or downloaded where that functionality is provided.
6.3. We may correct errors, make reasonable amendments or update Templates from time to time, including where changes are necessary to improve the Template or reflect changes in legislation or recognised good practice.
6.4. We do not guarantee that a Template will be suitable for every organisation, employee, employment situation or jurisdiction. You are responsible for reviewing and adapting each Template before use.
6.5. Templates are general HR resources and are not a substitute for legal advice. Where a matter is complex, contentious or legally significant, you should obtain appropriate professional advice.
6.6. Nothing in these Terms excludes or limits any statutory rights you may have in relation to digital content, including rights concerning satisfactory quality, fitness for purpose and conformity with its description where those rights apply.
7.1. Subject to payment of the applicable price and compliance with these Terms, we grant you a non-exclusive, non-transferable licence to use purchased Templates for the purpose for which they are supplied.
7.2. You may edit, customise, save, print and use Templates for your own personal or business HR purposes.
7.3. Where a Template is purchased by a business or organisation, that business may use the Template internally for its own employees, workers and HR processes.
7.4. You must not sell, resell, sublicense, rent, lease, redistribute, publish, upload or otherwise make Templates available to third parties for their independent use.
7.5. You must not distribute Templates, whether in their original or modified form, as part of another commercial product or service without our prior written permission.
7.6. You must not remove copyright notices, branding or other ownership information from Templates where such information is included.
7.7. A licence to use a Template does not transfer ownership or copyright in the Template to you.
8.1. Unless otherwise stated, all Templates, text, graphics, designs, website content, databases, software, branding, logos and other materials made available through hrdocbox.co.uk are owned by or licensed to us and are protected by applicable intellectual property laws.
8.2. Your purchase gives you a licence to use the relevant Template. It does not transfer ownership of the Template or any underlying intellectual property rights.
8.3. You must not reproduce or exploit our intellectual property beyond the rights expressly granted under these Terms.
8.4. The hrdocbox.co.uk name, logo and associated branding may not be reproduced or used without our prior written consent, except where required by law.
9.1. Prices are displayed on the website in pounds sterling unless otherwise stated.
9.2. Where applicable, VAT or other applicable taxes will be displayed as required by law.
9.3. Payment must be made using one of the payment methods made available at checkout.
9.4. You authorise the applicable payment provider to process payments in accordance with the payment arrangements selected when placing your order.
9.5. Promotional prices, discount codes and special offers may be subject to additional conditions stated at the time of the offer.
9.6. We reserve the right to correct obvious pricing or description errors. Where an incorrect price has been displayed, we will contact you before processing the order where reasonably possible.
10.1. Where you purchase a Subscription, the Subscription price, payment frequency, minimum term, access arrangements and any renewal arrangements will be clearly displayed before you complete your purchase.
10.2. Unless expressly stated otherwise at checkout, a Subscription provides access to the Templates and resources included within the relevant Subscription during the applicable Subscription period.
10.3. Where a Subscription is offered as a fixed-term arrangement payable by instalments, the payment schedule and total amount payable will be shown before purchase.
10.4. If you choose to cancel a fixed-term Subscription before the end of its minimum term, the consequences of cancellation will be those clearly stated at the time of purchase and will be subject to any statutory cancellation rights that apply to you.
10.5. We will not impose a cancellation charge that is prohibited by law or that would otherwise be unfair or disproportionate.
10.6. If a Subscription automatically renews, the renewal period, price and cancellation arrangements will be stated before you enter into the Subscription.
10.7. We may provide reminders or other communications concerning renewal or payment where required by law or where we consider them appropriate.
11.1. If a scheduled Subscription payment fails, we may attempt to collect the payment again using the payment method associated with your Account.
11.2. We may temporarily restrict access to Subscription content where payments remain unpaid, subject to any rights you have under applicable law.
11.3. We will not use suspension of access to avoid or restrict any statutory rights you may have.
12.1. If you are a consumer, you may have a statutory right to cancel a distance contract within 14 days, subject to the exceptions provided by law.
12.2. Because Templates are digital content supplied electronically, the statutory cancellation rules applying to digital content may differ from those applying to physical goods.
12.3. Where you ask us to begin supplying digital content during the 14-day cancellation period, we may ask you to provide express consent for the supply to begin immediately and to acknowledge that you will lose your statutory cancellation right once supply begins, where permitted by law.
12.4. Any cancellation right that is lost as a result of the lawful supply of digital content does not affect statutory rights relating to defective, faulty or incorrectly described digital content.
12.5. If you are entitled to cancel an order, you may do so by contacting us using the contact details provided on the website. We may provide a standard cancellation form for this purpose where required.
13.1. Refunds will be provided where required by law and in accordance with any additional refund terms expressly stated at the time of purchase.
13.2. Where you have a statutory right to cancel and that right has not been lawfully excluded, we will process any applicable refund in accordance with the relevant legal requirements.
13.3. Where digital content has been supplied immediately following your express consent and acknowledgement that your statutory cancellation right would be lost, you may not subsequently cancel that purchase under that statutory cancellation right, subject to your other legal rights.
13.4. If you believe that a Template is defective, materially does not match its description or otherwise fails to meet applicable statutory requirements, please contact us promptly so that we can investigate and provide an appropriate remedy where required.
13.5. Refunds will normally be made using the original payment method unless otherwise agreed or required by law.
14.1. Where you purchase Templates wholly or mainly for purposes relating to your trade, business, craft or profession, you may be purchasing as a business customer rather than as a consumer.
14.2. Business customers are responsible for ensuring that the Templates purchased are suitable for their intended use and for obtaining professional advice where appropriate.
14.3. Nothing in these Terms is intended to exclude any liability or legal obligation that cannot lawfully be excluded or restricted.
15.1. HR law, regulations, official guidance and case law can change. Although we make reasonable efforts to maintain and update our Templates, we cannot guarantee that every Template will reflect every legal or regulatory development immediately.
15.2. You are responsible for checking that a Template remains appropriate for your circumstances before using it.
15.3. You are responsible for decisions made by you or your organisation using a Template and for ensuring that your employment practices comply with applicable law.
15.4. Our Templates do not constitute legal advice, and purchase or use of a Template does not create a solicitor-client, legal adviser-client or other professional relationship between you and hrdocbox.co.uk.
16.1. We aim to keep the website and Account services available and functioning properly, but we do not guarantee that the website will always be available, uninterrupted or free from errors.
16.2. We may temporarily suspend or restrict access to the website for maintenance, security, technical updates, improvements or circumstances outside our reasonable control.
16.3. We will take reasonable steps to restore affected services as soon as reasonably practicable.
17.1. Certain payment, hosting, communication or other services used by the website may be provided by third parties.
17.2. Third-party services may be subject to their own terms and privacy policies.
17.3. We are not responsible for the operation of third-party services to the extent that an issue is caused by the relevant third-party provider, subject always to any liability that cannot legally be excluded.
18.1. We may suspend or terminate your Account or access to Templates where we reasonably believe that you have materially breached these Terms, engaged in fraud or misuse, infringed our intellectual property rights, or used the website in a way that threatens its security or operation.
18.2. Where reasonably practicable, we will provide an explanation of the reason for suspension or termination.
18.3. Termination of an Account does not automatically remove any statutory rights you may have.
18.4. Where a breach of these Terms has resulted in termination, we may restrict further access to Templates where permitted by law.
18.5. Sections concerning intellectual property, payment obligations, liability, legal rights and any other provisions which by their nature should survive termination will continue to apply after termination.
19.1. Nothing in these Terms excludes or limits liability where it would be unlawful to do so.
19.2. In particular, nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot legally be excluded or limited.
19.3. We are not responsible for losses arising solely because you failed to follow instructions, failed to review or adapt a Template appropriately, or used a Template for a purpose for which it was not intended.
19.4. Subject to the provisions above and any statutory rights that apply, our liability will be limited to the extent permitted by applicable law.
19.5. Nothing in these Terms affects statutory consumer rights relating to digital content or other rights that cannot legally be excluded.
20.1. Where you are a business customer, you agree to reimburse us for reasonable losses, costs or claims arising directly from your unlawful use of the website or Templates, your infringement of our intellectual property rights, or your material breach of these Terms.
20.2. This provision does not apply to the extent that the relevant loss or claim was caused by our own breach of contract, negligence or unlawful conduct.
21.1. We may update, improve, replace or discontinue features of the website from time to time.
21.2. We may add, remove or amend Templates and other resources available through the website.
21.3. Where you have already purchased a Template, changes to the wider website will not remove any rights you have already acquired in relation to that purchase, subject to these Terms and applicable law.
22.1. We may update these Terms from time to time to reflect changes in law, regulation, technology, our services or the way the website operates.
22.2. The version of the Terms applicable to your purchase will be made available to you at the time of purchase.
22.3. Where a change materially affects an existing Subscription or other ongoing contract, we will provide appropriate notice and, where required by law, give you the opportunity to cancel or exercise any other applicable rights.
22.4. Continuing to use the website after updated Terms have been published may constitute acceptance of the updated Terms for future use and purchases, but will not remove rights you have under an existing contract or applicable law.
23.1. Our collection and use of personal information is explained in our Privacy Policy.
23.2. Our use of cookies and similar technologies is explained in our Cookie Policy, where applicable.
23.3. By creating an Account or purchasing from us, you acknowledge that your personal information will be processed in accordance with our Privacy Policy.
24.1. We aim to provide a high standard of service. If you have a complaint about a Template, purchase, Subscription, Account or other aspect of our service, please contact us using the contact details provided on the website.
24.2. Please provide sufficient information for us to identify your order or Account and explain the nature of your complaint.
24.3. We will consider complaints fairly and will aim to respond within a reasonable period.
25.1. We will not be responsible for delay or failure to perform an obligation where that delay or failure results from circumstances beyond our reasonable control.
25.2. Such circumstances may include significant technical failures, interruption to internet or telecommunications services, cyber incidents, failures of third-party service providers, fire, flood, natural disaster, industrial action, government action or other circumstances outside our reasonable control.
26.1. You may not transfer or assign your Account, Subscription or rights under these Terms to another person or organisation without our prior written consent, except where permitted by law.
26.2. We may transfer or assign our rights and obligations under these Terms as part of a business sale, restructuring, merger or transfer of the relevant business, provided that doing so does not unlawfully reduce your rights.
27.1. If any provision of these Terms is found to be unlawful, invalid or unenforceable, that provision will be treated as modified or removed to the minimum extent necessary, and the remaining provisions will continue to apply.
27.2. If we do not immediately enforce a right under these Terms, this does not mean that we have waived that right.
27.3. These Terms, together with the information provided during the purchase process and any documents expressly incorporated into them, form the agreement between you and us in relation to the relevant purchase or service.
27.4. Nothing in these Terms is intended to create a partnership, agency or employment relationship between you and hrdocbox.co.uk.
28.1. These Terms are governed by the laws of England and Wales.
28.2. Where you are a consumer, you will also benefit from any mandatory protections available to you under the law of the part of the United Kingdom in which you live where those protections apply.
28.3. Subject to any mandatory consumer rights, the courts of England and Wales will have jurisdiction over disputes arising from these Terms.
