Example

HR uses the Enhanced Contract of Employment to document the agreed salary, hours, holiday entitlement, benefits and notice arrangements alongside these additional contractual provisions. The relevant optional clauses are completed and provisions that do not apply are removed.

The employee receives the contract before starting work, raises a question about the probationary period and the wording is clarified before the contract is agreed.

Later in the employment relationship, the employee resigns. Because the contract contains an appropriate garden leave provision, the Company can consider whether to require the employee to remain away from work during their notice period while continuing to employ and pay them in accordance with the contract.

Contract versus written statement

An employment contract is broader than the statutory written statement. The written statement provides specified information that employers must give employees and workers, whereas the contract can contain additional express contractual terms governing the employment relationship. Enhanced sick pay

Where the employer provides contractual company sick pay in addition to Statutory Sick Pay, the contract should clearly explain the applicable entitlement and any conditions attached to it. Employers should ensure that contractual sick pay arrangements are applied consistently and do not unlawfully discriminate.

Probation

A probationary period can be included in the contract and should clearly state its duration and any applicable review or extension arrangements. Probation does not remove an employee's statutory employment rights.

Garden leave

An express garden leave provision can give an employer a contractual basis for requiring an employee to remain away from work during some or all of their notice period. Payment in lieu of notice

A payment in lieu of notice clause should clearly establish the circumstances in which the Company may terminate employment immediately and make a payment instead of requiring the employee to work their notice. The contractual and tax treatment of the payment should be considered carefully.

Lay-off and short-time working

Employers should take particular care when including lay-off or short-time working provisions. Whether an employer can lay an employee off or reduce their working hours depends on the contractual position and applicable law. Confidentiality

The enhanced contract contains detailed confidentiality provisions covering commercially sensitive information, personal data, business plans, pricing, customers, suppliers and other information that should reasonably be treated as confidential.

Confidentiality provisions should be drafted carefully so that they do not prevent lawful disclosures, including protected disclosures or other disclosures protected by legislation.

Conflicts of interest

The contract can require employees to disclose relevant conflicts of interest and comply with reasonable Company instructions. Employers should ensure that any restrictions are proportionate and relevant to the employee's role.

Policies and the Employee Handbook

Where policies or an Employee Handbook are incorporated into the contract, employers should clearly identify which provisions are contractual and ensure employees can access the relevant documents. Employers should avoid accidentally making every provision of a handbook contractual if that is not intended.

Changes to contractual terms

Where contractual terms change, employers should ensure that the change is properly agreed where required and confirmed in writing. Notice periods
