2. Term

3. Fees and Payment

4. Confidentiality
4.1 Definition
The Service Provider may be exposed to confidential or sensitive information relating to the Client’s business, including but not limited to operations, employees, finances, trade secrets, and other proprietary information (“Confidential Information”).
4.2 Obligations
The Service Provider shall:
Keep all Confidential Information strictly confidential;
Not disclose, use or reproduce such information except for the purpose of delivering services under this Contract;
Implement appropriate security measures to safeguard the Confidential Information;
Return or destroy all Confidential Information at the end of the Contract or upon request.
4.3 Exceptions
These obligations shall not apply to information that is:
Already lawfully in the Service Provider’s possession;
